These terms apply to all services provided by ALTERA SERVICES LTD, a company registered in England and Wales, company number 11098816, registered office 71–75 Shelton Street, London, WC2H 9JQ ("Altera", "we", "us"), to our clients ("you").
Professional firms that instruct us on behalf of their own clients are also bound by our Corporate Services and KYC Cooperation Agreement. Where that agreement conflicts with these terms, the agreement prevails.
1. Our regulatory statusWe are supervised by HM Revenue & Customs for anti-money laundering purposes as a trust or company service provider, registration number XVML00000205406, and are a Companies House Authorised Corporate Service Provider.
We are not a firm of solicitors and do not provide legal advice reserved to solicitors, regulated financial advice or immigration advice. Where your matter needs these, we work with independent regulated professionals, who will advise you directly under their own terms.
2. Our servicesWe provide UK company formation, statutory filings, registered office and company secretarial services, compliance support, registrations with HMRC, and document certification and legalisation. The scope, fee and timing for each instruction will be confirmed to you in writing before we start.
3. Identity checks and anti-money launderingWe must verify the identity of our clients and of the directors, shareholders, persons with significant control and beneficial owners of the companies we act for. We cannot start work until these checks are complete and satisfactory.
You agree to provide accurate and complete information and documents promptly, and to tell us about any changes.
We may refuse or stop acting, without liability, where checks are incomplete or unsatisfactory, or where we have concerns under anti-money laundering law.
We are legally required to report suspicions of money laundering or terrorist financing to the National Crime Agency, and we may be prohibited from telling you that we have done so.
4. Your responsibilitiesYou are responsible for the accuracy of the information you give us and for decisions you make about your business. You must tell us of any deadlines relevant to your instruction. We rely on the information you provide and are not responsible for errors arising from incomplete or inaccurate information.
5. Fees and paymentOur fees are as quoted in writing and exclude VAT and official fees (for example, Companies House, HMRC, notary, translation and embassy fees), unless stated otherwise.
Unless agreed otherwise, fees are payable in advance. Official fees paid on your behalf are non-refundable once paid. Invoices are due on receipt. We may pause work while payment is outstanding.
6. Third partiesWhere we arrange services from solicitors, notaries, translators, embassies or other third parties, we do so as your agent. We are not responsible for their acts, omissions, fees or processing times, including delays at government bodies.
7. Confidentiality and data protectionWe keep your information confidential, except where disclosure is required by law or regulation or needed to carry out your instructions. We process personal data in line with our
Privacy Policy.
8. LiabilityNothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited by law.
Subject to that, we are not liable for indirect or consequential loss or loss of profit, and our total liability for any instruction is limited to the fees you paid us for that instruction.
9. Ending our servicesYou may end our services at any time by written notice. We may stop acting by written notice, or immediately where required by law or regulation, or where fees are unpaid. You must pay for work done and costs incurred up to the date our services end.
10. ComplaintsIf you are unhappy with our service, please email
info@alteraservices.co.uk. We will acknowledge your complaint within 5 working days and aim to resolve it within 8 weeks.
11. Governing lawThese terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
